Terms & Conditions

1. Introduction

1.1. These terms and conditions ("Terms") govern the provision of web design services, including but not limited to the creation of websites, online stores, or blogs, as well as any related services directly provided or facilitated by UON studio (also referred to as "UON," "UON7," "we," "us," or "our"). UON is a brand operated under the official registration of Julius Miko in the Czech Republic, European Union, ID number 07199775. All our services are subject to the jurisdiction of Prague, Czech Republic, EU, and governed by Czech law. These Terms apply exclusively to the aforementioned services and any ancillary services agreed upon.

2. Web Design Services

2.1. UON Studio specializes in crafting professionally designed websites, online stores, or blogs with intuitive self-management features predominantly using the Wix Studio platform. Our services include, but are not limited to, Wix SEO services and ongoing support (described below) to enhance website performance and support client growth. A brief description of our process and methodology for each service is available on our website or upon request.

2.2. While we strive to provide the best possible solutions, it is important to note that UON Studio can only offer functionality and features that are made available by the platforms we work with. Functionality and features can be extended by utilizing external apps offered via the Wix App Market. Additionally, any further integrations can be arranged only if mutually agreed upon.

2.3. Additional services such as branding, logo design, copywriting, photography, videography, production, marketing, social marketing, advanced SEO services, translation & localization, programming, and prototyping are offered through our partners and are subject to separate terms and conditions, which clients are advised to review.

3. Express Design Service

3.1. Express Design is designed for clients who want to launch quickly with a professional website that they can manage and customize post-launch.

 

The service includes:

  • Full prepayment, made during checkout in our Express Design store to secure your project slot. This upfront payment ensures affordability by streamlining the process and eliminating delays.

  • Clients have the option to schedule an online meeting with us to discuss their brief, align on details, and ensure a shared understanding of the project scope.

  • One review cycle, providing an opportunity for clients to give feedback and request minor adjustments within the predefined scope.

  • A fixed timeline for delivery, ensuring the project is completed efficiently and launched within the agreed schedule.

  • Training to help clients manage and customize their site confidently post-launch.

 

3.2. Client Responsibilities

  • Clients must provide all necessary content and materials (text, media, etc.) before the project begins to ensure timely delivery. If clients do not have the required inputs, placeholders will be used, and starting texts will be generated by the studio. These generated texts and placeholders are then to be managed and customized by clients.

  • Clients are responsible for reviewing the work during the single review cycle and providing feedback promptly.

3.3. Timeline and Deliverables

  • Express Design projects follow strict, fixed timelines and are typically delivered within 2-4 weeks, depending on the project scope, as outlined on the Express Design landing page. Delays in providing necessary inputs or approvals may result in timeline adjustments or additional charges.

  • The service includes one review cycle; additional changes beyond this will require a separate agreement.

  • When add-ons such as blog, bookings, or store are included, we will install and set up the app to match the theme and initial configuration. Depending on the tool added, we may include an item or two for products, services, or blog posts, using client-provided inputs if available or demo inputs if not. Training will be provided to clients on how to manage these tools.

  • Express Design projects follow strict, fixed timelines. Delays in providing necessary inputs or approvals may result in timeline adjustments or additional charges.

  • The service includes one review cycle; additional changes beyond this will require a separate agreement.

 

3.4. Limitations

  • No extensive consultations or iterative customization are included.

  • Limited review and revision cycles (one round only).

  • Additional requests outside the agreed scope may incur extra charges.

  • Clients seeking extensive consultations and customizations are encouraged to consider choosing our standard Custom Design services.

3.5. Support and Post-Launch Changes

  • Post-launch support is available at standard hourly rates.

3.6. Cancellation Policy

  • If a client changes their mind and chooses to cancel the project, partial refunds may be considered at our discretion depending on the progress of the project. However, a minimum cancellation fee of 10% of the project cost will always be applied.

  • No refunds will be issued once the project is near completion or fully delivered.

4. Support Services

4.1. UON Studio offers support services designed for clients with existing Wix sites built on Wix Studio, Editor X, and the classic Wix editor. We reserve the right to assess each client's suitability for providing our support services.

4.2. Clients are obligated to cooperate with us as advised throughout the whole support process. Clients must invite us as their Wix website contributor, typically with a Website Manager role, unless instructed otherwise.

4.3. Our support services provide professional assistance for maintaining and updating Wix websites. While our websites are designed for self-management, we offer comprehensive support solutions for clients who lack the knowledge, time, or resources for updates, or require more advanced changes as they grow. Clients can reach out for a quote, prepay online, and receive prompt maintenance without retainers. Clients only pay for the help they receive.

4.4. For hourly rates based support options, we provide examples indicating the required time for work and communication. Clients can choose more hours for a better rate, and higher prepaid packages can also be used as individual hourly blocks. Some prepaid support options are subject to expiry as indicated within the individual package descriptions.

4.5. Additional support services may be offered as we find fit to meet the needs of our clients.

5. Branding Services


5.1. Service Scope: Our branding services, typically requested alongside our web design services, include a range of options designed to meet different needs, including logo creation and brand guide development.


5.2. Revisions: Each branding package includes up to two revisions. Additional revisions may incur extra charges.


5.3. Delivery Timeline: Estimated delivery times, as indicated in the service descriptions, vary by package and are subject to change based on project requirements and client feedback.


5.4. Payment Terms:

For clients also purchasing web design services: A 50% deposit is required upfront for branding services.

For clients only purchasing branding services: Full payment is required upfront.


5.5. Intellectual Property: Ownership of the final design is transferred to the client upon receipt of full payment.


5.6. Customization: Customizable add-ons are available as specified in the individual package details.


5.7. Collaboration and Availability: Our branding services are provided in collaboration with external partners and may be subject to availability. Prices and availability will be confirmed upon request and before project initiation.

6. Pricing and Payment

6.1. Pricing for Services is confirmed for each project individually. Standard pricing estimates are available on our website, with additional costs applicable for more complex requests. Specific due dates for payments will be communicated upon project initiation, typically within 10 days of invoicing.

6.2. An Initial Payment of 50%, aligned with industry standards, is required after the Discovery Call, securing project capacity and Figma design completion. This initial investment covers research, design, and early project stages, ensuring UON Studio dedicates its full resources to your success. This prioritization limits our capacity for other work, highlighting the significance of our partnership. Although the deposit is generally non-refundable, we offer flexibility under exceptional circumstances, with refunds considered on a selective basis. If the client cancels the project after prepayment but before design work commences, a minimum cancellation fee of 10% of the total project price will apply to cover the time and capacity reserved.

6.3. The Second Payment of 25% is due before starting Wix Studio development. Upon settling the balance, clients receive the completed site, including full SEO setup, access credentials, and personalized training, ensuring a seamless transition.

6.4. The Balance Payment of 25% must be received before site transfer & launch, covering all launch preparations, training, and final handover, ensuring a smooth transition to the live site. Flexible payment arrangements, such as installments, can be accommodated under special agreements. UON Studio provides post-completion support within the project's original scope, ensuring a stable and functional digital presence. As your trusted long-term online partner, we are here to support your future growth, should you wish to further expand and enhance your digital presence.

6.5. Payments are accepted via bank transfer, predominantly SEPA payments in Europe. Alternative online payment methods may be enabled upon request, with associated fees covered by the Client.

6.6. Agreement Through Payment: Your payment signifies agreement to UON Studio's Terms & Conditions. Full details are provided at the end of this document.

6.7. For details regarding Express Design prepayment requirements, refer to the Express Design section.

7. Timeline and Deliverables

7.1. An initial start date estimate is provided early on, with a reconfirmation after prepayment. Should prepayment be timely, especially within the invoice due date, the initial and reconfirmed start dates typically align. For special circumstances, such as when a priority timeline is purchased by the client, projects may start sooner without affecting our existing commitments. Detailed timelines and milestone deliverables are outlined at the project’s commencement. While we aim to meet these estimates, variations may occur due to client responsiveness or project complexity.

7.2. Active client participation in the project workflow is crucial. Providing content that is correct, accurate, and adheres to the requested format in a timely manner is essential for keeping the project on track. In efforts to sustain high service quality to all clients, failing to provide expected content within 30 days of the specified deadline may result in the project being placed on hold. Should a project be put on hold for these reasons, a restart fee equivalent to 10% of the total project price will apply to restart the project, accompanied by an amended timeline. Should the project remain on hold for more than 3 months due to delayed content submission, UON Studio reserves the right to consider cancellation, particularly in cases where there is insufficient client participation in resolving the situation. Each case will be assessed individually and in accordance with our Pricing and Payment and Termination of Services terms.

8. Intellectual Property

8.1. Upon full payment, intellectual property rights of the design are transferred to the Client, subject to any limitations discussed and agreed upon, such as geographical restrictions or specific contexts of use. The website will include an attribution note in the footer, which the Client agrees not to remove.

8.2. If the Client requests the removal of the attribution note, they will be required to pay an additional fee of 10% of the total project price. Unauthorised removal of the attribution note may result in UON Studio refraining from providing further services to the Client.

8.3. UON Studio retains the right to showcase completed work in its portfolio and marketing materials unless otherwise agreed with the Client.

9. Client Responsibilities

 

9.1. Pre-Transfer Responsibilities: Clients are responsible for providing all necessary content (such as their text, images, videos, or branding materials) in agreed formats and quality standards within the specified timeframe. Guidelines on content specifications will be provided upon project initiation.

9.2. UON Studio is not responsible for delays caused by the Client's failure to provide necessary materials or feedback promptly. 

9.3. The Client is responsible for ensuring that all content provided to UON Studio for use in the project is owned by them or licensed for use.

9.4. Post-Transfer Responsibilities: Following the successful transfer of the website, UON Studio completes all agreed-upon finishing tasks. These tasks typically include final site configuration, connecting the Instagram Feed profile, SEO and indexing tasks, and assistance with the connection of the site to the client's purchased Wix plan and domain. After these tasks are completed, ownership and responsibility for ongoing maintenance of the site officially transfer to the client. The client then assumes full responsibility for the website's upkeep.

9.5. It is important to note that while the website's hosting is provided by the Wix platform, UON Studio has no control over Wix’s operations, functionality, or hosting services after the website's transfer. Consequently, any platform or hosting-related issues post-transfer are beyond our scope of responsibility.

9.6. Clients are encouraged to directly address any subsequent issues with the website or its hosting on Wix. Should additional support from UON Studio be required post-transfer, such assistance will be available but subject to charges at our then-current support rates.

9.7. Refer to the Express Design section for specific client responsibilities.

10. Revisions and Edits

10.1. Clients are provided with opportunities for feedback and revisions during the design process, typically involving two rounds of Figma reviews: one after the homepage design and one after additional key pages design, and two rounds of Wix Studio reviews: one after desktop development and one final review after tablet & mobile development.

10.2. Additional revisions beyond the agreed-upon number may incur additional charges, subject to mutual agreement.

10.3. Once the design specifications are finalized and development commences, it's important to note that the initial Figma design outlines more than 90% of the website's final appearance. As such, any modifications to this design during the development phase are limited to a minimal scope, not exceeding 10% of the overall design. This policy ensures that the project remains on track and aligned with the agreed-upon vision.

11. Termination of Services

11.1. Client Requested Termination - In the event that the Client wishes to terminate the project, we encourage open communication and request that the Client provide notice or express concerns beforehand. This allows us the opportunity to address any issues and potentially resolve them to the satisfaction of both parties. Termination of the project without prior communication may result in missed opportunities for resolution.

11.2. Studio Initiated Termination - If we determine it necessary to cancel the project due to unforeseen circumstances or breaches of agreement by the Client, we will notify the Client in writing and provide an explanation for our decision. We will make reasonable efforts to resolve any outstanding issues and may consider refunds or compensation depending on the circumstances.

12. Confidentiality and Non-Disclosure

12.1. UON Studio respects the confidentiality of Client information and does not disclose any confidential information without prior written consent, except as required by law.

12.2. Client data privacy, including the use of cookies and other tracking technologies on our website, is handled in accordance with our Privacy Policy. This policy outlines how we collect, use, and protect your personal data, and describes your rights regarding this data. For detailed information, please visit our Privacy Policy page.

12.3. For quality assurance and to ensure no key client details or feedback are overlooked, UON Studio may record audio and video calls. Such recordings are solely for internal review and governed by our Privacy Policy.

13. Website Maintenance and Support

 

13.1. Regular maintenance is essential for ensuring your website functions optimally, as evolving technology can directly or indirectly affect its visual presentation and performance. We encourage clients to actively monitor their websites and utilize the wealth of support resources provided by Wix for those who wish to manage their sites independently.

 

13.2. For professional updates that leverage our expertise to help prevent unintentional disruptions to your site, we invite you to visit our Support Page. As your long-term online partner, we encourage you to contact us for support; you can confirm a quote, prepay for services online, and receive timely assistance without retainers—only paying for the help you receive.

14. Limitation of Liability

 

14.1. UON Studio shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to the Services provided, including but not limited to loss of profits, data, or business interruption.

15. Acceptance of Terms Through Payment

15.1. The act of paying any invoice issued by UON Studio serves as an acknowledgment and an explicit agreement to all the Terms and Conditions outlined herein. We strongly encourage all our clients to review the Terms and Conditions available on our website carefully before making any payment. By completing a payment, you are affirming your full understanding and acceptance of these terms, establishing a binding agreement between you and UON Studio. This acceptance is crucial for ensuring a transparent and trusted partnership.

16. Translation Disclaimer

 

16.1. Our website is available in English, Czech, and German, with the English version serving as the official text. Translations are offered for convenience using third-party software, which may not capture all nuances accurately. 17. Amendment of Terms

17.1. UON Studio reserves the right to amend these Terms at any time. Any amendments will be effective immediately upon posting on our website or notification to the Client.

18. Legal Jurisdiction and Governing Law

 

18.1. Any legal disputes shall be resolved in the jurisdiction of Prague, Czech Republic, EU, governed by Czech law.

19. Entire Agreement

19.1. These Terms constitute the entire agreement between UON Studio and the Client regarding the Services and supersede all prior agreements and understandings.
